WHEREAS, Contractor is a licensed HVAC contractor, and Subcontractor is a qualified HVAC technician/company; and

WHEREAS, Contractor desires to engage Subcontractor to perform certain HVAC services (the "Services") for the project located at [Project Address] (the "Project"); and
